License & User Agreement

Effective Date: 21 December 2025

This License & User Agreement (“Agreement”) is a legally binding contract between HostX (“HostX”, “Company”, “we”, “us”, “our”) and any individual or entity (“User”, “you”, “your”) that accesses, installs, uses, or benefits from HostX software, platforms, infrastructure, services, or related technologies.

By accessing or using any HostX service, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree, you must not use HostX services.

1. Scope of License

Subject to your continuous compliance with this Agreement and the HostX Terms of Use, HostX grants you a limited, non-exclusive, non-transferable, revocable license to access and use HostX services, software, systems, dashboards, APIs, and tools solely for lawful purposes and strictly in accordance with this Agreement.

This license does not grant ownership of any HostX software, infrastructure, or intellectual property.

2. License Restrictions

You may NOT, directly or indirectly:

• Copy, reproduce, modify, reverse engineer, decompile, or disassemble any HostX software or systems
• Resell, sublicense, lease, rent, distribute, or commercialize HostX services without written authorization
• Use HostX services to build competing platforms or derivative works
• Circumvent security, access controls, licensing limits, or usage restrictions
• Use HostX services in violation of applicable laws, sanctions, or regulations

Any unauthorized use automatically terminates this license.

3. Ownership & Intellectual Property

All rights, title, and interest in and to HostX services, software, systems, documentation, trademarks, trade secrets, and intellectual property remain the exclusive property of HostX or its licensors.

This Agreement does not transfer ownership or grant any implied rights beyond the limited license expressly stated.

4. User Content License

You retain ownership of content you upload or host using HostX services. However, by using HostX, you grant HostX a limited, worldwide, non-exclusive license to store, transmit, process, and display such content solely for the purpose of providing services.

You represent and warrant that you have all necessary rights to grant this license and that your content does not infringe third-party rights.

5. Cybersecurity & System Integrity

HostX maintains reasonable cybersecurity measures to protect its systems and services. Users must not attempt to bypass, disable, probe, or compromise HostX security mechanisms.

Any attempt to interfere with system integrity, security, or licensing controls constitutes a material breach of this Agreement and may result in immediate termination and legal action.

6. Suspension & Termination of License

HostX reserves the right to suspend or terminate this license immediately, without notice, if:

• You breach this Agreement or any HostX policy
• You engage in illegal, abusive, or harmful activity
• Your use poses legal, security, or operational risk
• Required payments are not made

Upon termination, all rights granted under this Agreement immediately cease, and you must stop using HostX services.

7. No Warranty

HostX services and licenses are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, non-infringement, or uninterrupted availability.

HostX does not warrant that services will be error-free, secure, or uninterrupted.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• HostX shall not be liable for indirect, incidental, special, or consequential damages
• HostX’s total liability shall not exceed the amount paid by you in the last 30 days
• You assume all risks associated with the use of HostX services

9. Indemnification

You agree to indemnify, defend, and hold harmless HostX, its officers, directors, employees, and partners from any claims, losses, damages, liabilities, or expenses arising from:

• Your use or misuse of HostX services
• Violation of this Agreement or applicable law
• Infringement of third-party rights
• Content hosted or transmitted under your account

10. Export Controls & Sanctions

You agree not to use HostX services in violation of export control laws, sanctions, or embargoes imposed by any applicable authority. HostX reserves the right to restrict access to comply with international regulations.

11. Modifications to License

HostX may modify this Agreement at any time. Continued use of HostX services after changes constitutes acceptance of the revised Agreement.

12. Governing Principles

This Agreement shall be governed by international commercial and licensing principles, without regard to conflict-of-law rules.

13. Entire Agreement

This Agreement forms part of and is incorporated into the HostX Terms of Use, together with the Privacy Policy, Acceptable Use Policy, Trademark Policy, and other referenced policies, which collectively constitute the entire agreement between you and HostX.
